SEDIT AFRICA Consumer Services Privacy Policy


SEDIT AFRICA knows that you take your privacy seriously. We do, too. We seek to be transparent about our data practices and give you control over the information we collect about you. This Consumer Services Privacy Policy covers SEDIT AFRICA and its affiliates and subsidiaries.


The Consumer Services include our websites (the “Sites”), our mobile applications (the “Apps”), and other online services that we own or control (collectively, the “Consumer Services”). This Privacy Policy does not apply to our third party business partners or data suppliers.


This Policy also describes applicable data protection rights including a right to object to some of our processing.

What Data Does SEDIT AFRICA Collect


Data You Provide To Us:


We collect data that you provide to us when you create an account, such as full name, email address, phone number, birthday, gender, the city in which you created your account, and, where applicable, your social media username and other data if you create an account using third party log-in credentials (please see “Data Received From Third Parties” below).


We may also collect other data you provide when you use the Consumer Services, including pictures you upload, messages you send through the Apps, searches, likes, follows, check-ins, tips, survey responses, demographic information, and any other data that you voluntarily provide to us.


Data Collected Automatically When You Use Our Consumer Services:

 

If you opt in to sharing your location with us, we automatically receive data about your precise location (e.g., latitude-longitude coordinates) whenever you use the Consumer Services (e.g. open our mobile apps, visit our website, etc.). If you opt in to have background location on in our Apps (google places API) we will collect data about your address location when you are not using the Apps and when the Apps are closed.


We also collect additional data about you when you use the Consumer Services. For example:


data about how you interact with the Consumer Services, such as your search words, page views, date and time of interactions, time spent on each page, or posts you make;


device information, such as your hardware model, operating system and version, unique ID and device data such as device identifiers, IP address, sensor data, browser type, language, and wireless network, mobile device name, types of mobile apps installed; and


data from cookies, pixels and other technologies, such as cookie ID, advertising ID or other unique advertising ID, web beacons, and local storage. You can control certain types of cookies through your browser settings or other tools.

How Is My Data Used By SEDIT AFRICA?


To Operate, Maintain and Improve The Consumer Services


We use your data to operate, maintain the Consumer Services, and our business, and to understand you better and personalize the Consumer Services. In addition, if you use the Consumer Services when you are not logged into your SEDIT AFRICA account, when you subsequently log in to your SEDIT AFRICA account, we combine data collected while you were not logged in.


Some features and functionality in our Apps require that you provide your location. If you have location services turned on, whenever you use our Apps on your mobile device, we collect and use your geo-coordinates (e.g. latitude and longitude) to tailor the Consumer Services to your current location. We will only process your location with your express permission. If you have persistent background location turned on, we will obtain your device’s location even if you are not using the Apps. Your location is never shared with others, except with your consent or as permitted under this Privacy Policy.


We use various technologies to determine your precise location, such as the location services of your operating system or browser, sensor data from your device (e.g. magnetometer, barometer, gyroscopes, accelerometers, compasses, Bluetooth data, beacon data, Wi-Fi access points, GPS data, and cell tower data), and other data that may help us understand your precise location.


If you have opted-in to sharing your background location with us in our Apps, you may remove your permission at any time by going into your operating device settings and toggling off background sharing.


We also use your data to improve the Consumer Services and our business, conduct research and development, perform analytics, develop and offer new products and service, and to infer certain details about you, including details about you, your interests and whether separate devices (e.g. mobile phones, tablets, and/or TVs) are owned by you or by members of your household. For example, we may customize the Consumer Services to allow you to add friends from your device’s contact list who are also using the Consumer Services or, if applicable, your Facebook, Google or Twitter account, if you have opted to connect these accounts to your SEDIT AFRICA registration accounts). We do not store your contact lists. As another example, we also use your data to help us map Locations (as defined below). For example, we may use device signals to determine that a particular device is within a particular venue. Additionally, if you consent to sharing crash data (when the Apps crash) with us, we may use that data to help us analyze the cause of the crash and improve the Consumer Services.


Communicate With You


We use your data to communicate with you by email, text (if you opt-in), or in our Apps, about new product offerings, updates to the Consumer Services, or anything else we think may be of interest to you. To opt out of receiving marketing communications, please see the “Unsubscribe from Marketing Emails and Text Messages” section of this Privacy Policy below.


Rewards, Contests and Sweepstakes


We may use your data, including your completed surveys, to enable you to earn points and administer your participation in contests and sweepstakes. If you enter a sweepstakes, we will use certain information associated with your account, such as your name and email address, to run the sweepstakes and fulfill prizes to you.


Protection of Our Rights


We may use your data to protect the rights, property or safety of SEDIT AFRICA, the Consumer Services, our users and employees, or any third party. For example, we may use your data to protect against identity theft, prevent fraud or other criminal activity, claims or other liabilities. We may also use your data to comply with and enforce applicable legal requirements, relevant industry standards and our policies, including this Privacy Policy and our Terms of Service.


Our Products


We use your data in our business products and services (“Products”) that we offer to our partners. In particular, we receive data from unaffiliated apps and websites, online advertising services, and our partners, which we may use to send you advertisements that are tailored to your interests. The data collected for this purpose includes data about how you interact with the Consumer Services or with unaffiliated websites and apps, device data, and data from cookies, pixels or other similar technologies.


We combine the data described above with demographic data, location and other interest-based segment data obtained from third parties, including data obtained from the Enterprise Services to provide our Products.


When Is My Data Shared?

 

We may share certain data about you as further described in this Consumer Services Privacy Policy or when you have given us consent to do so.


Data That May Be Shared With Other Users


When you use the SEDIT AFRICA Apps and Sites, your authorized friends may see some of your data (e.g. name, profile photo, hometown, users you are following, your followers, and other information you post). When you communicate using the SEDIT AFRICA Apps and Sites, such as when you direct message your friends or check-in to a store, restaurant or a location (each a “Location”), your friends may see this data. You can always control what you want visible to others, including your friends, in your “Settings”.


Publicly available data includes your public profile, tips, likes, saves, photos, lists you create and follow, badges/stickers, mayorships, and lists of followers. Public data may be searchable by search engines and be shared with third parties, including through our Products.


Data That May Be Shared With Affiliates, Service Providers and Partners


We may share your data with our affiliated entities, and service providers that perform services on our behalf, such as cloud storage, IT services, marketing, analytics and search engine and other software services. These service providers may be located in countries other than the country in which the information originally was collected, such as the United States and Canada. We do not authorize our service providers to retain, use or disclose the data except as necessary to perform services on our behalf or comply with legal requirements.


In addition, when we partner with a business, we may share data by sharing a mobile advertising identifier and other data, or we may share Data in an aggregate form. We may also assist our business partners in combining the data we obtain when you use the Consumer Services with the data we receive from those business partners about online or offline advertisements that you may have viewed (including on unaffiliated apps, websites, and billboards). We do this so that our partners can serve targeted ads, measure the effectiveness of their ad campaign, and perform analytics. We do not share raw location history. We may also share data to our developer community or third parties for analytical or other purposes.



Data That May Be Shared With Our Affiliates and Subsidiaries


We may share data with our affiliates and subsidiaries in order to improve the Consumer Services, develop and offer our Products, and for other purposes.


Compliance with Law, Protection of Rights and Corporate Events


We may share data (i) if we are required to do so by law or legal process (such as a court order or subpoena); (ii) in response to requests by government agencies, such as law enforcement authorities; (iii) to establish, exercise or defend our legal rights; (iv) when we believe disclosure is necessary or appropriate to prevent physical or other harm or financial loss; (v) in connection with an investigation of suspected or actual illegal activity; or (vi) to protect the rights, property, or safety of SEDIT AFRICA and our products and services, our employees, or users and others.


We may also share data as part or in anticipation of a business sale, merger, consolidation, investment, change in control, transfer of substantial corporate assets, reorganization, liquidation, or similar business transaction or corporate event.


When You Consent


We will also share your data with your consent.



What About Cookies and Similar Technologies?


We may use technologies like cookies, pixels, web beacons, local storage and other automated technologies on our Sites, in our emails, within our Apps, and sometimes in third party apps that use our APIs or SDKs to provide you with a range of products and services. We use these technologies for a number of purposes, such as for authentication, security, preference settings, in our Products for advertising, measurement and analytics.


You can control cookies through your browser settings and other tools. If you reject cookies, this could affect the availability and functionality of the Consumer Services. For more information, including the types of cookies and similar technologies found on SEDIT AFRICA, please read our Cookie Policy.


Third-Party Analytics


On our Consumer Services, we use third-party analytics services, such as those of Google Analytics. The service providers that administer these analytics services use cookies and other automated technologies to collect data (such as IP addresses, entity site location addresses, and other device identifiers) to evaluate, for example, use of our Consumer Services, google places, and to diagnose technical issues. Interest-Based Advertising


Through our Consumer Services, both we and certain third parties (such as our business partners) may collect information about your online activities to provide you with advertising about products and services tailored to your individual interests. You may see our ads on other websites or mobile apps because we use third-party ad services. Through such ad services, we can target our messaging to users considering demographic data, users’ inferred interests and browsing context. These services track users’ online activities over time and across multiple online services by collecting information through automated means, including through the use cookies, web server logs, web beacons, device identifiers and other similar technologies. The ad services use this information to show ads that may be tailored to users’ interests. The information ad services may collect includes data about users’ visits to our Consumer Services and other websites and apps that participate in the relevant ad services, such as the pages or ads viewed and the actions taken on the websites or apps. This data collection takes place both on our Consumer Services and on unaffiliated third-party websites and apps that participate in these ad services. This process also helps us track the effectiveness of our marketing efforts.


How do I Access or Delete My Data?


You may access and update your data at any time through the “Settings” tab in your SEDIT AFRICA or profile account. You may also delete your data and account at any time on our Sites by clicking on the “Delete Your Account” link in your “Privacy Settings” page through your web account. If you delete your data, your profile, including your check-in history, tips and photos, badges and stickers received will be removed from the Consumer Services, and you will no longer be able to access such data. We will not be able to restore your account once it has been deleted. Deletion of your account may not be immediate. Residual copies of your personal information or posts may remain on backup media for a short period of time thereafter.


If you wish to delete your account, you can do so by requesting an account deletion from the in-app “Contact Us” form or sending an email to info@SEDIT AFRICA.com.


We may also retain data as required by applicable law and we may retain data that has been anonymized or otherwise does not constitute or contain personal information.

Unsubscribe from Marketing Emails and Text Messages


By Email:You can opt out of marketing or promotional emails at any time by adjusting your preferences in your “Settings” in the Apps or here, if you are logged into your web account. You may also unsubscribe from marketing emails by following the instructions in the email. Please note that you cannot opt out of service or legal notices.


By SMS:If you have opted in to receive SMS messages, you can always unsubscribe at any time by texting STOP in response to a message or by following the instructions in the SMS.


Personal Information Retention


To the extent required by applicable law, we keep the personal information you provide for the duration of our relationship, plus a reasonable period thereafter to comply with the applicable statute of limitations and other applicable laws.


How We Protect Personal Information


We maintain administrative, technical and physical safeguards designed to protect personal information we obtain through the Consumer Services against accidental, unlawful or unauthorized destruction, loss, alteration, access, disclosure or use.

 

Children under 18


Our Consumer Services are intended for a general audience and are not directed at children. We do not knowingly collect personal information online from individuals under the age of 18 or such other age as may be directed by applicable law.


Your Rights


Subject to applicable law, you may have a number of rights regarding the processing of your Personal Data, including:


the right to request access to, or copies of, your personal data that we process or control, together with information regarding the nature, processing and disclosure of that personal data;

the right to request rectification of any inaccuracies in your Personal Data that we process or control;

the right to request:

deletion of your personal data that we process or control; or

restriction of processing of your personal data that we process or control;

the right to object, to the processing of your personal data by us or on our behalf;

the right to have your personal data that we process or control transferred to another data controller, to the extent applicable;

the right to withdraw where we process your personal data on the basis of your consent, and

the right to file a complaint with a Data Protection Authority regarding the processing of your personal data by us or on our behalf.

To exercise one or more of these rights, or to ask a question about these rights or any other provision of this Privacy Policy, or about our processing of your personal data, please use the contact details provided in the Contact Us section.


These rights may be limited in certain circumstances, for example if fulfilling your request would (i) reveal personal data about another person, (ii) infringe the rights of a third party (including our rights), (iii) cause us to delete information that we are required by law to keep or have compelling legitimate interests in keeping. Relevant exemptions are included in both the GDPR and in local implementing legislation. We will inform you of relevant exemptions we rely upon when responding to any request you make.


You have the right to access your personal data. In compliance with the Principles, SEDIT AFRICA commits to resolve complaints about our collection or use of your personal data. Individuals with inquiries or complaints regarding our Privacy Shield policy should first contact us at info@SEDIT-AFRICA.ORG SEDIT AFRICA has further committed to refer unresolved Privacy Shield complaints, an alternative dispute resolution provider located in the EU and Africa. If you do not receive a timely acknowledgment of your complaint from us, or if we have not resolved your complaint, please contact us for more information.


You have the ability, under certain conditions, to invoke binding arbitration for complaints regarding Privacy Shield compliance not resolved by any of the other Privacy Shield mechanisms.


African Countries Trade Commission has jurisdiction over SEDIT AFRICA’s compliance with Privacy Shield. This is in addition to our requirement to disclose personal data to public authorities upon the receipt of a lawful request, including requests made in relation to national security or law enforcement requirements, as discussed above in this Privacy Policy.


If we transfer your personal data to a third party acting as our agent, we remain responsible for how that personal data is processed. This means that we will remain liable under the Principles if any third party acting as our agent processes your personal data in a manner inconsistent with the Principles, unless we were not responsible for the event giving rise to the damage.

SEDIT AFRICA may amend this Consumer Services Privacy Policy from time to time. We encourage you to regularly check this page to review any changes we might make in accordance with this Consumer Services Privacy Policy. We will indicate at the top of the Privacy Policy when it was most recently updated. If we make material changes in the way we use your data, we will notify you by posting an announcement on our Sites or Apps, or by sending you an email (if we have your email).

Welcome to SEDIT Africa.! We know as event subscriber on our platform, we will make sure the event run safely and smoothly both online and in the physical space. We're excited you’re here! Please read these Terms of Service (“Terms”) carefully because they contain important information about your legal rights, remedies, and obligations.

By accessing or registering to attend our events, you are agreeing to the terms and conditions of these Terms (which incorporate and include our Privacy Policy and all other terms, policies, and agreements referenced throughout these Terms), without modification, and entering into a binding contract with us that governs our Services and your use of the Services. Do not access or use the Services if you do not agree to the terms and conditions of these Terms.

IMPORTANT NOTICE: SECTION 9 OF THESE TERMS OF SERVICE CONTAINS A BINDING ARBITRATION AND CLASS ACTION WAIVER THAT MAY AFFECT YOUR LEGAL RIGHTS. PLEASE READ SECTION 9 VERY CAREFULLY.

1. Accepting These Terms

1.1 What's what.

Here are some important definitions to help you navigate these Terms.

An "Affiliate" of any entity means any person or entity that controls, is controlled by, or that is under common control with, such entity, whether as of the date of your agreement to these Terms or after. For purposes of this definition, "control" means ownership or control, directly or indirectly, of more than 20% of the outstanding voting stock of an entity or otherwise possessing the power to direct the management and policies of an entity.

2. “Consumers” means consumers using our Services for any reason, including to consume information and/or attend events.

3. “SEDIT Africa Properties” means products, features and offerings that are available:

A. online through various properties including sedit-africa.org ("Site(s)");

B. off platform, including entry management, sponsorship, and marketing or distribution services; and

C. through mobile applications, webpages, application programming interfaces, and subdomains ("Applications").

4. “Material” includes information, data, text, editorial content, design elements, look and feel, formatting, graphics, images, photographs, videos, music, sounds, and other content and materials.

5. "Organizer" means an event creator using our Services to create events for Consumers.

6. “Services” include the SEDIT Africa Properties and the Organizer Services

 7. “Site Content” refers to Material contained in or delivered via the Services or otherwise made available by SEDIT Africa in connection with the Services.

8. “Your Content” is any Material that you contribute, provide, post, or make available using the Services, or that you otherwise contribute, provide, post or make available to us, or that you authorize us to use.

9. “Your Trademarks” are the trademarks, trade names, service marks, and logos that you contribute, provide, post, or make available using the Services, or that you otherwise contribute, provide, post or make available to us, or that you authorize us to use.

10. Organizers, Consumers, and third parties accessing or using our Services are all referred to in these Terms collectively as "Users," "you," or "your."

11. When these Terms use "SEDIT Africa," "we," "us," or "our," that refers to SEDIT Africa, org. and its Affiliates, an d subsidiaries, and each of its and their respective officers, directors, agents, partners, and employees.

1.2 Who's who.

You may be contracting with one of our Affiliates.

1. Depending on where you are located, you may be contracting with other verified services and payment processors of SEDIT Africa.org. The contracting entity on the other side have their  Terms as well.

2. Depending on where you are located, if you are a Consumer submitting a credit card to us via our event registration page to process your purchase, you may be contracting with a verified third party payment processor of SEDIT Africa. for purposes of event ticket Payment Processing only.

 For clarity, regardless of the entity you contract with for purposes of Event Payment Processing, all other Services are offered through our third party verified payment processors.

1.3 What else?

There may be other terms that apply to you. 1. By agreeing to these Terms, you acknowledge you have read and agree to the Privacy Policy and Cookie Statement applicable to all Users, which are incorporated by reference into, and are part of, these Terms. 2. All Users must abide by SEDIT Africa's policy guidelines. Please read these carefully, as they affect what types of content and conduct are permitted when using the Services. 3. Users may be bound by the following additional terms, which are incorporated by reference into, and are part of, these Terms:

1.4 Your Authority.

Using our Services on behalf of an entity will bind that entity to these Terms.

If you will be using the Services on behalf of an entity (such as on behalf of your employer), you agree to these Terms on behalf of that entity and its Affiliates and you represent that you have the authority to do so. In that case, "you" and "your" will refer to that entity as well as yourself.

2. SEDIT Africa Services and Role

2.1 What we do.

We offer sustainability initiatives and  events management and growth platform that helps Organizers and Consumers thrive and connect through memorable live experiences. Through our Services, event attendees or in-person events, buy tickets and stay connected to Consumers through a suite of marketing tools.

2.2 How we fit in.

We are owner of the events listed on our website and advertise sale of event tickets, and registrations.

When hosting an event, we are solely responsible for ensuring that the event and any page displaying our event complies with any applicable laws, rules, and regulations, and that the goods and services described on the event page are delivered as described and in an accurate, satisfactory manner.

If SEDIT Africa is hosting an event with paid tickets, we select verified payment processing method offered to Consumers for the event. Consumers must use the payment processing method we have selected..

3. Privacy and Consumer Information

3.1 Privacy Policy.

We follow our Privacy Policy when handling and protecting your personal data.

We are committed to protecting your personal data that you provide or that we collect through our website up to the point of exchange with our verified payment processors Properties as set forth in our Privacy Policy.

4. Term; Termination

4.1 Term.

These Terms apply when you access our Services.

These Terms apply to you as soon as you access the Services by any means and will continue to apply until they are terminated. There may come a time when you decides it's best to cancel a service.. The Terms will generally apply. However, as described in Section 4.4, certain provisions will always remain applicable to both you and us.

4.2 Termination.

We can revoke your access to our Services.

1. We may suspend or terminate your right to use the Services at any time, including if:

A. you violate or breach these Terms or any other agreement between you and us, or if you fail to pay any amounts due;

B. you misuse or abuse the Services, or use the Services in a way not intended or permitted by us;

C. you engage in any conduct that jeopardizes the safety of our community or integrity of SEDIT Africa or interferes with the experience of our community

D. allowing you to access and use the Services would violate any applicable local, state, provincial, national, or other laws, rules and regulations or court order or would expose us to legal liability.

2. We may choose to stop offering the Services, or any particular portion of the Services, or modify or replace any aspect of the Services, at any time. We will use reasonable efforts to provide you with notice of our termination of your access to the Services, if we believe that failure to do so would materially prejudice you. You agree that we will not be liable to you or any third party as a result of our termination of your right to use or otherwise access the Services.

4.3 Survival of Terms.

Certain provisions will always remain applicable to both you and us.

All provisions of these Terms that by their nature should survive termination (i.e., they will continue to apply to you) including all limitations on liability, releases, indemnification obligations, disclaimers of warranties, agreements to arbitrate, choices of law and judicial forum, and intellectual property protections and licenses.

5. Release and Indemnification

6.1 Release.

You won’t bring us into any disputes between you and a third party.

1. You hereby agree to release us (collectively with our Affiliates and subsidiaries, and each of our and their respective officers, directors, agents, co-branders, licensors, and employees, (including other Users) from all damages (whether direct, indirect, incidental, consequential, or otherwise), losses, liabilities, costs, and expenses of every kind and nature, known and unknown, arising out of a dispute between you and a third party payment processing partners, vendors, other partners, independent contractors   in connection with any of the following:

A. Payment failures or uncertainties related to Event ticket processing;

6.2 Indemnification.

You agree to have our back if a third party comes after us because of something you did or failed to do.

1. You agree to defend, indemnify, and hold harmless SEDIT Africa from any and all damage (whether direct, indirect, incidental, consequential or otherwise), loss, liability, cost and expense (including reasonable attorneys' and accounting fees) resulting from any claim, demand, suit, proceeding (whether before an arbitrator, court, mediator or otherwise) or investigation made by any third party (each a "Claim") relating to or arising out of:

A. your breach of these Terms (including any terms or agreements or policies incorporated into these Terms);

B. your unauthorized use of the Services;

D. any Feedback that you give or receive;

E. your breach of any applicable local, state, provincial, national or other law, rule or regulation or the rights of any third party;

F. our collection and remission of taxes; and

2. We will provide notice to you of any such Claim, but our failure or delay in providing such notice will not limit your indemnification obligations except to the extent you are materially prejudiced by such failure. Also, in certain circumstances, we may choose to handle the Claim ourselves, in which case you agree to cooperate with us in any way we request.

7. Disclaimer of Warranties and Assumption of Risks by You 

7.1 Disclaimers.

We strive to provide Services in the way you need them, but there are some things we can’t promise.

1. To the extent allowed under applicable laws, the Services  are provided on an "as is" and "as available" basis. SEDIT Africa expressly disclaims all warranties of any kind, express or implied, including implied warranties of title, non-infringement, and fitness for a particular purpose. For example, we make no warranty that:

A. the Services (or any portion of the Services) will meet your requirements or expectations;

B. the Services will be uninterrupted, timely, secure, or error-free; or

C. the results that may be obtained from the use of the Services will be accurate or reliable.

2. We have no control over and do not guarantee the (i) quality, safety, success, accuracy, or legality of any event or Site Content associated with an event, (ii) accuracy of any information provided by Users (including Feedback and Consumers’ personal information shared with Organizers in connection with events), or (iii) ability of any User to complete a transaction.

3. We are not liable for the acts or omissions of any third parties, including third parties that help us provide the Services, that an Organizer chooses to assist with an event, or that you choose to use or contract with when using the Services.

7.2 Assumption of Risks.

You must assume risks that are inherent in attending live events.

Some events may carry inherent risk and by participating in those events, you choose to assume those risks voluntarily. For example, some events may carry risk of illness, bodily injury, disability, or death, and you freely and willfully assume those risks by choosing to participate in those events.

7.3 SEDIT Africa-Hosted Events

When you attend an event hosted by us, we are responsible for your safety in the premises of the events site.

7.4 Application of Disclaimers.

The disclaimers will apply so long as they are allowed under law.

The disclaimers in these Terms apply to the maximum extent permitted by law. If any warranties are required by applicable law, they will be limited to the shortest duration allowed.

8. Limitation of Liability

8.1 SEDIT Africa Liability.

In order to provide our Services on a large scale, we have to limit our liability to you.

1. To the extent permitted by applicable laws, SEDIT Africa, will not be liable to you or any third party, for:

A. Any indirect, incidental, special, consequential, punitive or exemplary damages, including damages for loss of goodwill, use, data, opportunity costs, intangible losses, or the cost of substitute services (even if we have been advised of the possibility of such damages);

B. any Feedback that you give or receive; or

C. Your Content or Your Trademarks.

2. In addition, other than your obligation to pay for tickets

i. The total price of all tickets or registrations that the User purchased or made through the Services in the three (3) month period immediately preceding the circumstances giving rise to their claim;

8.2 Compliance of Terms.

All of our Terms are meant to comply with the law.

Some jurisdictions do not allow the exclusion of certain warranties or conditions on, or the limitation of, liability for loss or damage caused by willful acts, negligence, breach of contract or breach of implied terms, or incidental or consequential damages. Only those liability and other limitations which are lawful in your jurisdiction (if any) will apply to you, and our liability is limited to the maximum extent permitted by law.

9. IMPORTANT: BINDING ARBITRATION AND CLASS ACTION WAIVER PROVISIONS

PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS. ANY DISPUTE OR CLAIM UNDER THESE TERMS OR WITH RESPECT TO THE SERVICES WILL BE SETTLED BY BINDING ARBITRATION OR IN SMALL CLAIMS COURT (TO THE EXTENT THE CLAIM QUALIFIES) AND WILL TAKE PLACE ON AN INDIVIDUAL BASIS ONLY; YOU AGREE THAT CLASS, CONSOLIDATED (EXCEPT IN THE LIMITED CIRCUMSTANCES DESCRIBED BELOW), OR REPRESENTATIVE ARBITRATIONS AND CIVIL ACTIONS ARE NOT PERMITTED AND ANY RIGHTS TO BRING SUCH ACTIONS ARE WAIVED BY EACH PARTY.

The parties understand that, absent this mandatory provision, they would have the right to sue in court and have a jury trial. They further understand that, in some instances, the costs of arbitration could exceed the costs of litigation and the right to discovery may be more limited in arbitration than in court.

9.1 Customer Support.

Contact us first if you have an issue with our Services.

You agree that if you have a question or concern about the Services, you will contact us first, prior to initiating any legal proceeding. Our customer support team will try to answer your question or resolve your concern.

9.2 Arbitration Process.

If a dispute can’t be resolved between us, it must be resolved through arbitration.

In the unlikely event that our customer support team is unable to resolve your concerns, you and we each agree to resolve all disputes and claims between you and us, including any arising under or relating to these Terms, your use of the Services, or your and our relationship, through binding arbitration or (to the extent the claim qualifies) in small claims court, instead of in courts of general jurisdiction. As explained below, the appointed arbitrator will have authority to enter all relief that would be available in court, to the extent warranted by the claims. All arbitrations and small claims proceedings will proceed only on an individual basis. In no event may either we or you seek to resolve a dispute with the other as part of any purported class, consolidated or representative proceeding. Binding arbitration is subject to very limited review. Only the appointed arbitrator – and not any court – will have the authority to resolve any dispute relating to this Section, including any dispute regarding the scope, enforceability, and arbitrability of these Terms. This arbitration provision will survive termination of these Terms and any other agreement between you and us. These Terms evidence a transaction in interstate commerce and the interpretation and enforcement of this Section 9 is governed by the Federal Arbitration Act, notwithstanding the choice of law set forth in Section 9.8 below.

9.3 Applicability.

Our agreement to arbitrate applies to almost all claims.

1. This agreement to arbitrate applies to all legal disputes between you and us. It includes, but is not limited to: (i) all claims relating to any aspect of the relationship between you and us, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory; (ii) all claims that arose before this or any prior agreement (including claims relating to advertising); and (iii) all claims that may arise after termination of these Terms and/or your use of the Services.

2. Notwithstanding this agreement to arbitrate, you or we may choose to bring:

A. an action on an individual basis in small claims court (to the extent the applicable claim qualifies); or

B. enforcement actions, validity determinations or claims relating to theft, piracy or unauthorized use of intellectual property in state or federal court in Nigeria. Patent or Trademark Office to protect your or our Intellectual Property Rights. "Intellectual Property Rights" means patents, copyrights, moral rights, trademarks, and trade secrets, but not privacy or publicity rights.

9.4 Selection of Arbitrator.

How the arbitrator will be selected.

We each agree to use the “rank and strike” process for selecting an arbitrator. In this process, the American Arbitration Association (“AAA”) will propose at least ten candidates to potentially serve as the arbitrator. We will each respond directly to AAA (without copying one another) in a writing that (i) “strikes” up to three of those candidates, that is, removes them from further consideration, and (ii) ranks the remaining candidates in order of preference. AAA will average each of our rankings for each arbitrator and select as the arbitrator the candidate with the highest ranking.

9.5 No Class Actions.

We both agree to not bring a class action.

YOU AND SEDIT AFRICA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. EXCEPT AS PROVIDED BELOW, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS, AND MAY NOT PRESIDE OVER ANY FORM OF CLASS, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY (IF WARRANTED) ISSUE ALL OF THE SAME RELIEF THAT WOULD BE AVAILABLE IN COURT, INCLUDING PUBLIC INJUNCTIVE RELIEF, IN FAVOR OF THE PARTY SEEKING SUCH RELIEF, BUT ONLY TO THE EXTENT AUTHORIZED BY LAW AND WARRANTED BY THE PARTY’S CLAIMS.

You and we each acknowledge that different arbitrations may present overlapping factual or legal issues. As such, to the fullest allowable extent, and subject to Section 9.9 below, you and we each agree that in the event one of you or us initiates an arbitration against the other and we determine, in our sole discretion, that such arbitration presents one or more questions of fact or law that are also at issue in a pending arbitration between us and a third party (a “Similar Arbitration”), the arbitration involving you will, at our request, be assigned to the same arbitrator presiding over the Similar Arbitration and/or be paused until the Similar Arbitration is resolved. Any rulings in any Similar Arbitration will not be binding in the arbitration involving you.

9.6 Dispute Notice.

Notice must be given when one of us intends to seek arbitration.

A party who intends to seek arbitration must first send to the other a written Notice of Dispute ("Dispute Notice"). The Dispute Notice to SEDIT AFRICA must be addressed  through our contact address stated on our website. Dispute Notices to you will be addressed to a mailing, home, or payment address currently on record with SEDIT Africa and must be sent by certified mail. If we have no records of a physical address, our Dispute Notice may be delivered to your email address. The Dispute Notice must (i) describe the nature and basis of the claim or dispute; and (ii) set forth the specific relief sought. If SEDIT Africa and you do not reach an agreement to resolve the claim within sixty (60) calendar days after the Dispute Notice is sent, you or SEDIT Africa may commence an arbitration proceeding.

9.7 Arbitration Rules.

These are the rules that will govern any arbitration proceedings.

The arbitration will be governed by the Commercial Arbitration Rules, or, if the actions giving rise to the dispute or claim relate to your personal use of the Services (rather than business use), the Consumer Arbitration Rules (in each case, the "AAA Rules") of the AAA, as modified by this Section 9, and will be administered by the AAA and settled by a single arbitrator.  All issues in dispute between the parties are for the arbitrator to decide, including, issues relating to the scope, enforceability, and arbitrability of this Section 9.

9.8 Arbitration Location.

This is where the arbitration will take place.

If you are a Consumer, any arbitration hearings will take place (at your option) either in the county of your residence or by phone, except that (1) if you are a Consumer whose residence is outside of Nigeria, the hearing will take place either by phone or videoconference, at your option and as permitted by the AAA Rules, the hearing will take place either in Lagos, or by phone or videoconference, at the option of AAA.

10. Fees and Refunds

14.1 Fees.

We charge the following fees.

We organize paid or free events. However, we charge fees to sell paid tickets or registrations. In some cases, Sometimes, we may determine whether these fees will be passed along to Consumers and shown as "Fees" on the applicable event page or absorbed into the ticket or registration price and paid by consumers. The fees charged to Consumers may include other charges, including facility fees, royalties, taxes, processing fees, and fulfillment fees. In addition, some fees are meant to defray costs incurred by us, but may in some cases include an element of profit and in some cases include an element of loss. We do not control (and cannot disclose) fees levied by your bank and/or credit card company, including fees for purchasing tickets and registrations in foreign currencies or from foreign persons. Be sure to check with your bank or credit card company prior to purchasing to understand all applicable fees, credit card surcharges, and currency conversion rates.

14.2 Ticket Transfers.

You may be able to transfer your ticket. 

If you wish to transfer tickets to an event you have purchased on the Site, please contact us to arrange for ticket transfer and we might be able to accommodate this for you.

14.3 Refund Requests.

Consumers requesting a refund should contact us. Consumers must not use a ticket that has been refunded or invalid tickets.

We will not be liable under any circumstances for any costs arising from third parties non-compliance with the procedures that must be implemented  to check the validity of tickets Payments. We will not be liable under any circumstances for costs and/or damage arising from ticket-related fraud and/or the purchase of the ticket through non-official means, such as third parties.

15. Your Registration Account with SEDIT AFRICA

15.1 Do's and Dont's.

When you create an account with us or use our Services, you must provide us with accurate information and follow these rules.

We may require you to create an account to access certain features or functions of the Services. You agree to the following:

Our Services are not targeted at children. You must be the legal age of majority where you reside to use the Services.

You must provide accurate, current, and complete information about yourself, or if you are using the Services on behalf of an entity, that entity (the "Registration Data"). You also must update this Registration Data if it changes.

If there is a dispute between two or more persons or entities regarding registration, we will be the sole arbiter of that dispute and our decision (which may include termination or suspension of the account) will be final and binding.

If you are using the Services on behalf of a company or other entity, you represent and warrant that you have the authority to legally bind that entity and grant us all permissions and licenses provided in these Terms.

You will immediately notify us of any unauthorized use of your password or account, or any other breach of security. You are responsible for any activities that occur under your account.

16. Your Content and Your Trademarks

16.1 Rights and Responsibilities.

We have certain rights to use Your Content and Your Trademarks.

1. You are solely responsible for Your Content and Your Trademarks. You hereby grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable right and license to access, use, reproduce, transmit, adapt, modify, perform, display, distribute, translate, publish, and create derivative works based on:

A. Your Content, in whole or in part, in any media, for

i. the purpose of operating the Services (including our promotional and marketing services, which may include promotion of you and Your SEDIT Africa Events on a third-party website or other media, including our event distribution providers and our social media properties);

ii. SEDIT Africa’s internal purposes (such as employee or shareholder communications); and

iii. when you give your permission, for the purposes of promoting SEDIT Africa or our Services; and

B. Your Trademarks,

i. in connection with our use of Your Content; and

ii. for the purpose of identifying you as an existing or past customer of SEDIT Africa both on the Services and in marketing, advertising and promotional materials.

We don’t claim ownership to Your Content or Your Trademarks, but these licenses are essential to provide you the Services and help Your SEDIT Africa Events. Consider the following examples: if you submit your logo or other images associated with one of our Events, we can display them on our website and resize or enhance them so that they look good on our Applications, or use them with our marketing tools to help you promote Your organization; we may feature details from one of our Events in a blog, case study, or shareholder letter to highlight the impact made by Your organization.

You hereby waive any and all moral rights in connection with our use of Your Content. Aside from these licenses, we do not claim, and you do not transfer, any ownership rights in any of Your Content or Your Trademarks and nothing in these Terms will restrict any rights

16.2 Representations.

You represent that you are able to grant us the rights described above.

You represent and warrant that you have all the rights, power and authority necessary to grant the foregoing license, and that all Your Content and Your Trademarks:

do not infringe, violate, misappropriate or otherwise conflict with the rights of any third party;

comply with all applicable local, state, provincial, national, and other laws, rules and regulations; and

do not violate these Terms.

16.3 Content Rules and Guidelines.

Your Content must comply with our rules and guidelines.

1. Your Content must be accurate and truthful. We reserve the right to remove Your Content from the Services if we believe that Your Content or Your SEDIT Africa Events violate these Terms, our Community Guidelines, or for any other reason. Your Content and Your Trademarks may be displayed on the Services in proximate distance to any Site Content or any third-party content, including content that is substantially similar or competing with yours, and we do not guarantee your exclusivity as a consumer in any category. Without limiting the generality of the foregoing, the Services are provided on a nonexclusive basis. We may preserve Your Content, Your Trademarks, Registration Data, and all other data associated with your account, and may also disclose Your Content, Your Trademarks, Registrations Data, and all other data associated with your account account if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to:

A. comply with legal process;

B. respond to claims that any of Your Content or Your Trademarks violate the rights of third parties;

C. enforce or administer these Terms; and/or

D. protect the rights, property, and/or personal safety of us, our Users and/or the public, including fraud prevention.

You understand that the technical processing and transmission of the Services, including Your Content and Your Trademarks, may involve transmissions over various networks and/or changes to conform and adapt to technical requirements of connecting networks or devices.

Notices may be sent to you by email or regular mail at your business address listed in our records. We may also provide notices of changes to these Terms or other matters by displaying notices or links to notices on the Services.

18. Modifications to the Terms or Services

We may modify these Terms from time to time and will notify you of material changes.

We reserve the right to modify these Terms from time to time (collectively, "Modifications"). If we believe any Modifications are material, we will let you know by one (or more) of the following methods:

A. posting the changes through the Services;

B. updating the "Updated" date at the top of this page; or

C. sending you an email or message about the Modifications.

2. Modifications that are material will be effective thirty (30) days following the "Updated" date, unless a different date is communicated in our notice to you. All other Modifications will be effective immediately.

19. Assignment

We can assign our rights and obligations under these Terms.

We may, without your consent, freely assign these Terms and our rights and obligations under these Terms, whether to an Affiliate or to another entity, in connection with a corporate transaction or otherwise.

20. Entire Agreement

These Terms make up our entire agreement with you unless we also enter into a separate written agreement.

Except as otherwise stated in these Terms, these Terms are the entire agreement between you and us and govern your use of the Services, superseding any prior or contemporaneous agreements, proposals, discussions, or communications between you and us on the subject matter of these Terms, other than any written agreement for Services between you and us relating to a specified event or events.

21. Feedback

We have a right to use any feedback you provide us.

We welcome and encourage you to provide feedback, comments, and suggestions for improvements to the Services, as well as feedback, comments, suggestions, and ratings regarding the services and events

22. Third Party Websites; Linked Accounts; Third Party Offers

We are not responsible for third-party websites or materials that you access.

The Services or Users may provide links to other Internet websites or resources. Because we have no control over such websites and resources, you agree that we are not responsible for the availability of such websites or resources. We do not endorse and are not responsible or liable for any Site Content, advertising, offers, products, services, or other materials on or available from such websites or resources and are not responsible for any damages or losses related to them, even if such websites or resources are connected with our partners or third-party service providers. For example, if you purchase ticket insurance on the Site from a third party, your contractual relationship is with the third-party ticket insurance provider, not with us.
